Risks

These are the most common problems we find during property due diligence in Dubai. Every one of these has cost buyers significant money when not caught before purchase.

Undisclosed Mortgage on the Property

The property has an existing bank mortgage that the seller did not disclose. The buyer’s money is used to pay off the seller’s mortgage at completion. If the mortgage amount is higher than the purchase price or if the bank refuses to release the mortgage, the transfer cannot complete. We catch this at the DLD records check before any money changes hands.

Developer Not Registered with RERA

The developer selling an off-plan property is not registered with RERA. This means they cannot legally sell off-plan property in Dubai, and the purchase has no regulatory protection. Buyers who have paid deposits to unregistered developers have very limited legal recourse. This check takes minutes, but the consequences of skipping it can be permanent.

No Escrow Account or Wrong Escrow Account

The off-plan project has no RERA-registered escrow account, or the buyer is being asked to pay into an account different from the registered escrow account. Payments made outside the escrow account have no protection under Dubai Law No. 8 of 2007. If the project fails, buyers who paid into the wrong account may not be able to recover their funds from the escrow.

Court Attachment on the Property

The property is subject to a court attachment order arising from the seller’s debts or a legal dispute. A property under court attachment cannot be transferred. A buyer who completes a purchase without knowing about the court order may find the transfer cannot be registered at the DLD. We check the full court records as part of the title verification.

SPA Terms That Heavily Favor the Seller

The SPA contains terms that significantly disadvantage the buyer. Common examples include cancellation clauses that allow the developer to keep the full deposit, change of specification clauses that allow the developer to change the property layout or finishes without compensation, and handover delay provisions that extend the grace period far beyond the legal standard. We identify all of these before you sign.

Outstanding Service Charges from the Previous Owner

The apartment or villa has outstanding service charges from the previous owner amounting to tens of thousands of dirhams. In some cases, owners’ associations have the right to prevent the transfer of a property until these charges are settled. We verify the service charge account before any transfer proceeds.

Real estate due diligence is the legal check you do before you buy a property. It means a lawyer reviews the property, the seller, the developer, and all the documents to make sure everything is in order before you sign anything or pay anything. What Due Diligence Checks

A proper property due diligence in Dubai checks several things at once. It verifies the title deed is registered correctly with the Dubai Land Department and that the seller is the genuine owner. It checks whether the property has any existing mortgage, court order, or other charge that could affect your ownership. It verifies the developer is RERA registered and that the project has all required approvals. It reviews the SPA or purchase agreement to make sure the terms are fair and legally sound. It confirms the escrow account is properly constituted for off-plan purchases.

Why Buyers in Dubai Skip It and What It Costs Them

Many property buyers in Dubai do not do proper due diligence because the market moves fast, salespeople create urgency, and the process seems complicated. Some buyers trust the developer or the agent entirely. More than 80 percent of Dubai’s property buyers are non-UAE nationals. For foreign investors buying from outside the UAE, the risks of skipping due diligence are higher because they cannot walk into the DLD or physically inspect documents themselves. Here is what every foreign investor needs to know.

You can own property in Dubai as a foreigner in designated freehold areas under Dubai Law No. 7 of 2006. The first due diligence check for foreign buyers is confirming the property is in a freehold zone where non-nationals can own.
Foreign investors cannot verify DLD records, RERA registration, or court attachments from outside the UAE. You are entirely dependent on the developer or agent’s representations unless you have a lawyer in Dubai doing these checks for you.
The Golden Visa property investment route requires a property worth AED 2 million or more with a clear title deed. Due diligence confirms the property meets the Golden Visa requirements before you commit to that investment.
Currency transfer and payment routing for foreign buyers carries risk if the payment goes to an unregistered account. We verify every payment routing instruction before funds are transferred.
Foreign buyers should hold their property through a UAE-registered arrangement rather than in their personal name in some cases. We advise on the right ownership structure for your nationality and investment goals.

Title Deed and DLD Registration Verification

We verify the title deed at the Dubai Land Department and confirm the seller is the registered owner. We check that the title deed is clean with no undisclosed mortgage, court attachment, or other encumbrance. A property with an existing mortgage cannot be transferred until that mortgage is discharged. A property under a court attachment cannot be sold at all. We confirm none of these exist before you proceed.

Developer and Project RERA Verification

For new and off-plan purchases, we verify the developer is registered with RERA and that the specific project has been approved by the Dubai Land Department and RERA. We check the developer’s track record, including any previous project cancellations or RERA violations. A developer who is not RERA registered cannot legally sell off-plan property in Dubai. This check is the most important single step for any off-plan purchase.

Escrow Account Verification

All off-plan buyer payments must go into a RERA-registered escrow account under Dubai Law No. 8 of 2007. We verify the escrow account exists, is properly registered, and that it is the account into which you are being asked to pay. Buyers who pay into an unregistered account have no escrow protection if the project fails. This check prevents one of the most common forms of off-plan fraud.

SPA and Purchase Agreement Review

We review the Sale and Purchase Agreement before you sign. We check the handover date, the penalty clause if the developer delays, your rights if you want to cancel, the payment schedule, the property specification, and what the SPA says about defects after handover. We identify every clause that is unfair or unclear and advise you on whether to negotiate, request changes, or walk away.

Existing Tenancy Obligations

If the property has a tenant in it, the tenancy continues after you buy it. You cannot evict a sitting tenant without following Dubai tenancy law which requires specific notice periods and valid grounds. We check the tenancy status of any property you are buying and advise on your rights and obligations as the new landlord from day one of ownership.

Service Charge and Owners Association Status

If you are buying an apartment, villa in a community, or any jointly owned property, outstanding service charges owed by the previous owner become a liability that can attach to the property. We check the service charge account and confirm there are no outstanding amounts before the transfer. We also check the owners association rules to make sure nothing in the community regulations will affect your intended use of the property.

Zoning and Permitted Use Check

Not every property in Dubai can be used for every purpose. Residential, commercial, hospitality and mixed-use zoning all apply different restrictions. If you plan to use a property for a specific purpose, we confirm the zoning permits that use before you buy. Buying a property for a purpose that is not permitted in its zone is an expensive and time-consuming problem to fix.

Power of Attorney and Seller Authority Verification

When a property is being sold through a power of attorney, we verify the power of attorney is genuine, was properly issued and is currently valid. We also confirm it gives the agent the specific authority to sell this property. Invalid or expired powers of attorney are used in property fraud. This check protects buyers when the person selling is not the registered owner.

Process

Property and Transaction Details

You share the property details, the developer's or seller's information, and what you know about the proposed transaction. We identify which specific checks apply based on whether the property is ready or off-plan, new or second-hand, residential or commercial.

Title and DLD Records Check

We run the title deed and ownership verification at the Dubai Land Department. We check for mortgages, court orders, and any other encumbrances. For off-plan properties, we verify the Oqood status and confirm the project is on the DLD Interim Register.

Developer, RERA, and Escrow Verification

We verify the developer's RERA registration status and the project's approval records. We confirm the escrow account details and verify it is properly constituted under Dubai Law No. 8 of 2007. We review the developer's track record with previous projects.

SPA and Document Review

We review all purchase documents, including the SPA, payment schedule, specification sheets and any ancillary agreements. We identify risks and either advise on negotiating changes before signing or advise on the implications of the current terms.

Due Diligence Report and Recommendations

We produce a clear due diligence report that sets out every check we performed, what we found and our recommendation. We tell you clearly whether to proceed, what to negotiate before proceeding, or whether there are problems serious enough to walk away. The report is your legal record of having done proper checks.
