A non-compete clause in the UAE requires work that gives access to an employer’s clients or business secrets. Its time, location, and work restrictions must protect legitimate business interests. Article 10 of the Labour Law limits the restriction to two years after the contract ends.

Quick Answer

A non-compete clause in the UAE may be enforceable when an employee’s work provides access to the employer’s clients or business secrets. The clause must define the restricted geographical area, duration and type of work, and the restrictions must protect legitimate business interests.

Article 10 of the UAE Labour Law limits a non-compete restriction to a maximum of two years after employment ends. The employer must prove harm if the dispute reaches court.

The clause may be invalid or inapplicable in certain circumstances, including termination caused by the employer’s breach. An employer’s claim for a violation is generally not heard after one year from discovering the breach.

Conditions for a non-compete clause in the UAE

  • The work must give access to clients or business secrets. Article 10(1) permits restrictions on competition or participation in a competing project in the same sector after employment ends.
  • The restriction must specify time, place, and work type to protect legitimate interests. Article 10(1) caps the period at two years after contract expiry.
  • Specifics: The clause must set the geographical area, the period, and the nature of the work so that competition would seriously harm the employer’s legitimate interests (Executive Regulation, Art 12(1)).
  • Void clause: The clause is void if the employer ended the contract in breach of the Law (Art 10(2)).

For disputes over contractual duties, read about when to seek advice on an employment dispute.

  • Employer’s claim: A claim by the employer for breach is not heard after one year from the date he discovers the breach (Art 10(3)).
  • Burden of proof: If a dispute is not settled amicably it goes to court, and the employer must prove the harm (Executive Regulation, Art 12(2)).

When a non-compete clause does not apply

  • It does not apply if the contract ended because of the employer, or because the employer breached its legal or contractual obligations (Executive Regulation, Article 12(3)).
  • The parties can agree in writing not to enforce it after the contract ends (Article 12(4)).
  • A worker or the new employer may pay agreed compensation up to three months of the wage in the last contract. The previous employer’s written consent is required for this exemption (Article 12(5)(a)).

For the effect of ending employment, read about employment termination rules.

  • A worker is exempt if the contract ended during the probation period (Article 12(5)(b)).
  • The Minister can exempt job categories under the labor market’s needs (Article 12(5)(c)).

How to draft or challenge a non-compete clause

  • Check that the job gives access to clients or secrets, because the clause depends on it.
  • Set a clear area, a period of not more than two years, and the type of competing work.
  • Keep the clause proportionate, because the employer must show the harm.

For the complaint procedure, read about filing a MOHRE employment complaint.

  • If you are the worker, check how the contract ended, because a wrongful termination by the employer voids the clause.
  • If you are the employer, act within one year of discovering the breach (Article 10(3)).
  • Take advice before signing a release, a compensation payment or a new job that may be affected.

Disclosing a secret during employment is a separate matter. It can be a ground for dismissal without notice if it caused loss or personal gain (Article 44(5)).
