Common Risks Due Diligence Identifies Before You Buy

These are the most common problems we find during property due diligence in Dubai. Every one of these has cost buyers significant money when not caught before purchase.

Undisclosed Mortgage on the Property

The property has an existing bank mortgage that the seller did not disclose. The buyer’s money is used to pay off the seller’s mortgage at completion. If the mortgage amount is higher than the purchase price or if the bank refuses to release the mortgage, the transfer cannot complete. We catch this at the DLD records check before any money changes hands.

Developer Not Registered with RERA

The developer selling an off-plan property is not registered with RERA. This means they cannot legally sell off-plan property in Dubai, and the purchase has no regulatory protection. Buyers who have paid deposits to unregistered developers have very limited legal recourse. This check takes minutes, but the consequences of skipping it can be permanent.

No Escrow Account or Wrong Escrow Account

The off-plan project has no RERA-registered escrow account, or the buyer is being asked to pay into an account different from the registered escrow account. Payments made outside the escrow account have no protection under Dubai Law No. 8 of 2007. If the project fails, buyers who paid into the wrong account may not be able to recover their funds from the escrow.

Court Attachment on the Property

The property is subject to a court attachment order arising from the seller’s debts or a legal dispute. A property under court attachment cannot be transferred. A buyer who completes a purchase without knowing about the court order may find the transfer cannot be registered at the DLD. We check the full court records as part of the title verification.

SPA Terms That Heavily Favor the Seller

The SPA contains terms that significantly disadvantage the buyer. Common examples include cancellation clauses that allow the developer to keep the full deposit, change of specification clauses that allow the developer to change the property layout or finishes without compensation, and handover delay provisions that extend the grace period far beyond the legal standard. We identify all of these before you sign.

Outstanding Service Charges from the Previous Owner

The apartment or villa has outstanding service charges from the previous owner amounting to tens of thousands of dirhams. In some cases, owners’ associations have the right to prevent the transfer of a property until these charges are settled. We verify the service charge account before any transfer proceeds.

    Title Deed and DLD Registration Verification

    We verify the title deed at the Dubai Land Department and confirm the seller is the registered owner. We check that the title deed is clean with no undisclosed mortgage, court attachment, or other encumbrance. A property with an existing mortgage cannot be transferred until that mortgage is discharged. A property under a court attachment cannot be sold at all. We confirm none of these exist before you proceed.

    Developer and Project RERA Verification

    For new and off-plan purchases, we verify the developer is registered with RERA and that the specific project has been approved by the Dubai Land Department and RERA. We check the developer’s track record, including any previous project cancellations or RERA violations. A developer who is not RERA registered cannot legally sell off-plan property in Dubai. This check is the most important single step for any off-plan purchase.

    Escrow Account Verification

    All off-plan buyer payments must go into a RERA-registered escrow account under Dubai Law No. 8 of 2007. We verify the escrow account exists, is properly registered, and that it is the account into which you are being asked to pay. Buyers who pay into an unregistered account have no escrow protection if the project fails. This check prevents one of the most common forms of off-plan fraud.

    SPA and Purchase Agreement Review

    We review the Sale and Purchase Agreement before you sign. We check the handover date, the penalty clause if the developer delays, your rights if you want to cancel, the payment schedule, the property specification, and what the SPA says about defects after handover. We identify every clause that is unfair or unclear and advise you on whether to negotiate, request changes, or walk away.

    Existing Tenancy Obligations

    If the property has a tenant in it, the tenancy continues after you buy it. You cannot evict a sitting tenant without following Dubai tenancy law which requires specific notice periods and valid grounds. We check the tenancy status of any property you are buying and advise on your rights and obligations as the new landlord from day one of ownership.

    Service Charge and Owners Association Status

    If you are buying an apartment, villa in a community, or any jointly owned property, outstanding service charges owed by the previous owner become a liability that can attach to the property. We check the service charge account and confirm there are no outstanding amounts before the transfer. We also check the owners association rules to make sure nothing in the community regulations will affect your intended use of the property.

    Zoning and Permitted Use Check

    Not every property in Dubai can be used for every purpose. Residential, commercial, hospitality and mixed-use zoning all apply different restrictions.     Power of Attorney and Seller Authority Verification

    When a property is being sold through a power of attorney, we verify the power of attorney is genuine, was properly issued and is currently valid. We also confirm it gives the agent the specific authority to sell this property. Invalid or expired powers of attorney are used in property fraud.
